Section 1 of 5: Financial Health0% complete

Financial Health

1.What is your company's annual revenue (latest full financial year)?

2.What best describes your company's profitability track record?

3.What has been your 3-year revenue CAGR?

4.What is your company's current debt situation?

What the assessment checks

The 20 questions cover the five areas that merchant bankers, the exchange and investors examine before an IPO:

  • Financial health: revenue, profitability track record, growth and debt.
  • Corporate governance: board composition, statutory auditor, company secretary and ROC/MCA compliance.
  • Operations and systems: financial reporting, internal controls, related-party transactions and working capital.
  • Business and market position: customer concentration, competitive advantage, industry outlook and revenue visibility.
  • Promoters and management: promoter experience, depth of the management team, clarity on dilution and past fundraising.

What your score means

  • 90% and above, IPO ready: you can engage a merchant banker and start the IPO process.
  • 75–89%, almost ready: about 6–12 months of focused work closes the gaps.
  • 55–74%, getting ready: the fundamentals are there; plan a 12–18 month programme.
  • 35–54%, foundation building: structural work comes first; 18–24 months is realistic.
  • Below 35%: focus on growth, profitability and basic compliance before planning an IPO.

Why readiness matters more than timing

Most IPO delays are caused by preparation gaps, not by the market: restated accounts, missing board members, unresolved related-party dealings or compliance lapses. Fixing these before you appoint a merchant banker shortens the timeline, lowers costs and supports a better valuation.

Frequently asked questions

1.How do I know if my company is ready for an IPO?

Check five areas: financial track record, corporate governance, internal systems, market position and management depth. The 20-question assessment scores each area and tells you how far you are from IPO readiness.

2.How long does it take to become IPO ready?

It depends on where you start. A company with clean audits and a professional board may need 6–12 months; one that needs governance and accounting clean-up should plan 12–24 months of pre-IPO preparation.

3.What are the eligibility criteria for an SME IPO?

The exchange looks at track record, net worth, net tangible assets and operating profit, along with compliance history. SEBI now expects SME issuers to show operating profit (EBITDA) of at least ₹1 crore in two of the last three financial years. Criteria change, so confirm current norms with your advisor.

4.Is the readiness assessment free?
